NEW PENNSYLVANIA ANNUAL REPORTING REQUIREMENT
Beginning in 2025, domestic and foreign business filing associations registered in Pennsylvania will be required to submit annual reports, in compliance with Act 122 of 2022, signed into law on November 3, 2022 by Governor Wolf. This annual report requirement replaces the prior decennial report requirement for these associations. Failure to file the annual report will result in the administrative dissolution, termination, or cancellation of the business registration.
The deadline for filing the annual report will depend on the type of entity. Corporations must file by June 30th of each year. Limited Liability Companies (LLCs) must file by September 30th of each year. All other entities must file by December 31st of each year. You can update the annual report at any time during the reporting year.
The following types of entities will be required to file annual reports: Business Corporations, Nonprofit Corporations, Limited Liability Companies, Limited Partnerships, Limited Liability Partnerships, Professional Associations, Business Trusts, and any other entity created by the filing of a document with the Pennsylvania Department of State.

- Business name
- Jurisdiction of formation (PA domestic or foreign (out of state) entity)
- Registered office address, and the address of the principal office
- Name of at least one governor (director, general partner, LLC manager or LLC member with material management responsibility, etc.)
- Names and titles of the principal officers, if any
- Your full name, phone number and whether you are a new or existing client.
Our charge for this filing will be $250 per entity per year.
